Overview

These Terms of Service ("Terms") constitute a binding legal agreement between you ("you," "your," or "Customer") and The Elofina Edit LLC, a Texas limited liability company ("The Elofina Edit," "we," "us," or "our"). These Terms govern your access to and use of our website, online store, and all related content, features, products, and services we make available (collectively, the "Services").

Our Services are hosted on the Shopify platform, which enables us to operate our store and provide the Services to you. All sales and transactions, however, are made directly with The Elofina Edit LLC.

Please read these Terms carefully. They contain important provisions governing your legal rights and obligations, including limitations of liability, disclaimers of warranties, and a binding arbitration provision and class action waiver (see Section 26). These provisions affect how disputes between you and us are resolved.

By accessing, browsing, or otherwise using the Services, or by placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy, each available on our website and incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

Section 1 — Eligibility and Accounts

By using the Services, you represent and warrant that you are of legal age to form a binding contract in your state, province, or country of residence, and that you possess the legal capacity to agree to these Terms. The age of majority and the legal age to make purchases independently vary by jurisdiction, and you are responsible for ensuring your use of the Services complies with the laws applicable to you.

If you are a minor under the age of majority in your jurisdiction, you may use the Services only with the involvement, consent, and supervision of a parent or legal guardian. If you are a parent or legal guardian permitting a minor in your care to access, browse, or make purchases through the Services on any device, you do so at your sole discretion and assume full responsibility for that minor's online activity, browsing, and shopping. Responsibility for a minor's access to and use of the Services rests entirely with their parent or legal guardian and does not, under any circumstances, fall upon The Elofina Edit.

Content Notice. Our products feature original artwork that is creative and at times subjective in nature. Some pieces include suggestive themes, LGBTQ+ themes, mature humor, and innuendo, and may not be suitable for all audiences. While our products do not contain explicit nudity or pornographic content, viewer discretion is advised, and parents and guardians are responsible for determining what is appropriate for any minor in their care.

To access certain features or complete a purchase, you may be asked to provide information such as your name, email address, billing details, payment information, and shipping address. You represent and warrant that all information you provide is true, accurate, current, and complete, and that you are authorized to provide it.

If you create an account, you are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us immediately of any unauthorized use. You may not transfer, sell, assign, or license your account to any other party.

Section 2 — Our Products

We strive to present our products as accurately as possible. However, because our products are original works of art reproduced across a range of materials and formats, the color, finish, texture, and appearance of any item may vary from how it appears on your screen. Variation in screen calibration, device settings, lighting, and individual production runs is a natural characteristic of handmade and made-to-order goods and does not constitute a defect.

We do not warrant that the appearance, color, or quality of any product will match your expectations or precisely match the images displayed in our store. All product descriptions, specifications, and availability are subject to change at any time without notice and at our sole discretion. We reserve the right to limit the quantities of any product offered and to discontinue any product at any time.

Section 3 — Made-to-Order Products and Order Acceptance

Our products are produced on a made-to-order basis. Each item is created specifically for you after your order is placed and is not drawn from existing inventory.

When you place an order, you are submitting an offer to purchase. All orders are subject to acceptance by The Elofina Edit, and we reserve the right to accept, decline, or cancel any order, in whole or in part, at our sole discretion and for any lawful reason, including suspected fraud, pricing or product errors, or limitations on available quantities. Your order is not accepted until we confirm acceptance, and payment has been received and processed. If we decline or cancel an order, we will attempt to notify you using the contact information provided at the time of purchase, and we will refund any amount charged for the declined or canceled portion.

Because production begins shortly after an order is placed, your ability to modify or cancel an order is limited and governed by our Refund Policy (available on our website). You are responsible for reviewing your order — including product selection, size, customization, and shipping address — before submitting it.

All purchases are subject to return, replacement, or refund solely in accordance with our Refund Policy (available on our website).

Section 4 — Digital Products and Downloads

We offer certain products in digital form, including digital downloads and downloadable artwork ("Digital Products"). Due to the nature of digital goods, which are delivered electronically and cannot be returned once accessed, all sales of Digital Products are final and non-refundable.

Your purchase of a Digital Product grants you a limited, personal, non-commercial, non-transferable license to use the file for your own personal enjoyment only. It does not transfer any ownership of, copyright in, or commercial-use right to the underlying artwork or design, which remain the property of The Elofina Edit. You may not resell, redistribute, reproduce for commercial purposes, sublicense, or create derivative works from any Digital Product without our prior written consent. Commercial use is available only through a separate written licensing agreement (see our Intellectual Property and licensing provisions).

Section 5 — One-on-One Sessions with Eloise

We offer bookable one-on-one virtual sessions with Eloise ("Sessions"), available in English or Spanish. The following terms apply to any Session you book, in addition to all other applicable provisions of these Terms. By booking a Session, you acknowledge and agree to each of the following.

Nature of the Service. Sessions are offered solely for companionship and entertainment purposes. A Session is a friendly, casual conversation with a supportive person. It is not therapy, counseling, coaching, mental health treatment, medical advice, legal advice, financial advice, or professional advice or services of any kind, and it must not be relied upon as a substitute for any of the foregoing. Eloise is not acting as a licensed therapist, counselor, medical provider, or professional of any kind, and no professional relationship of any kind is created by booking or participating in a Session.

No Reliance; Assumption of Risk. You acknowledge that any thoughts, opinions, encouragement, or conversation shared during a Session are personal and informal in nature, are provided for entertainment and companionship only, and are not professional guidance. You assume full responsibility for any decisions you make or actions you take, and you agree that you participate in a Session entirely at your own risk. If you are experiencing a crisis or require professional support, you should contact a licensed professional or an appropriate crisis resource.

Release and Waiver of Liability. To the fullest extent permitted by law, you release, waive, and discharge Eloise, The Elofina Edit LLC, and its owner, members, employees, agents, and representatives from any and all claims, demands, liabilities, damages, losses, costs, or causes of action of any kind, whether known or unknown, arising out of or relating to your participation in a Session, including without limitation any claim based on the content of a conversation, any emotional, psychological, or other response to a Session, any decision or action you take following a Session, or any outcome you attribute to a Session. This release applies regardless of the legal theory on which any such claim might be based, to the maximum extent permitted by applicable law.

Indemnification. You agree to indemnify and hold harmless Eloise and The Elofina Edit LLC from any claim brought by you or by any third party arising out of or relating to your participation in a Session.

Conduct, Recording, and Privacy. Sessions are intended to be a respectful and judgment-free space, and our Conduct and Right to Refuse Service provisions apply in full. We reserve the right to end any Session and decline future Sessions if a participant engages in abusive, threatening, or inappropriate behavior. You may not record, reproduce, broadcast, or distribute any Session, in whole or in part, without our prior written consent.

Booking, Cancellation, and Refunds. Sessions are subject to the booking, cancellation, rescheduling, and refund terms presented at the time of booking and in our Refund Policy. Cancellations made with at least forty-eight (48) hours' notice before the scheduled Session may be rescheduled at no charge. Cancellations made within forty-eight (48) hours of the Session, and no-shows, are non-refundable, as the time is reserved exclusively for you.

Section 6 — Wholesale, Bulk, and Commercial Orders

Certain products and arrangements are made available for wholesale, bulk, or commercial purchase. Such transactions may be subject to additional terms, including minimum order quantities, deposit requirements, separate pricing, resale certificate requirements, and final-sale conditions, as communicated to you at the time of inquiry or order. Where any such additional terms conflict with these Terms, the additional terms will govern that specific transaction.

Standard retail purchases made through our online store are intended for personal or household use. Resale of retail products for commercial purposes is permitted only where expressly authorized by us in writing through our wholesale program.

Section 7 — Prices, Payment, and Taxes

All prices are stated in U.S. dollars unless otherwise noted and are subject to change without notice. The price applicable to your order is the price displayed at the time the order is placed, as confirmed in your order confirmation. Unless expressly stated otherwise, posted prices do not include taxes, shipping, handling, or, for international orders, applicable customs duties or import charges.

For international orders, applicable taxes and duties are calculated and collected at checkout through our international commerce provider, so the total presented at checkout reflects the amount you will pay.

You agree to provide current, complete, and accurate billing and payment information, and to promptly update such information as needed. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and that the charges will be honored by your payment provider. You authorize us to charge the payment method for the total order amount, including taxes and shipping where applicable.

From time to time we may offer promotions or discounts governed by their own terms. Where a promotion's terms conflict with these Terms, the promotion's terms will govern for that promotion.

Section 8 — Shipping, Delivery, and Risk of Loss

All delivery dates and timeframes provided are estimates only and are not guaranteed. We are not liable for delays arising from production timelines, shipping carriers, customs processing, weather, or other circumstances beyond our reasonable control.

Title to and risk of loss for all products pass to you upon our transfer of the products to the carrier. Shipping, delivery, lost or stolen package procedures, and address-accuracy requirements are governed by our Shipping Policy (available on our website), which is incorporated herein by reference.

Section 9 — In-Person Events, Markets, and Pop-Ups

From time to time, The Elofina Edit participates in or sells products at in-person events, including but not limited to markets, pop-up shops, craft fairs, festivals, conventions, and similar gatherings (collectively, "Events"). The following terms apply to your attendance at, interaction with, or purchase from us at any Event, in addition to all other applicable provisions of these Terms.

Assumption of Risk. Attendance at and participation in any Event is entirely at your own risk. You voluntarily assume all risks associated with attending an Event, including risks of personal injury, illness, property damage, or loss arising from any cause.

No Liability. To the fullest extent permitted by law, The Elofina Edit, its owner, members, employees, agents, and representatives shall not be liable for any injury, accident, illness, harm, loss, theft, or damage of any kind sustained by any person or property before, during, or after any Event, whether on the part of a customer, attendee, bystander, or any other individual, and whether arising from our conduct, the conduct of third parties, the condition of the venue, or any other cause. Responsibility for the safety and conditions of any Event venue rests with the venue operator and event organizers, not with The Elofina Edit.

Conduct at Events. All conduct standards described in these Terms, including our Conduct and Right to Refuse Service provisions, apply at Events. We reserve the right to refuse service to, or remove, any individual who engages in disruptive, abusive, or inappropriate behavior at an Event.

Section 10 — Intellectual Property Rights

All content and materials available through the Services — including but not limited to the original artwork, illustrations, designs, trademarks, brand names, logos, slogans, text, graphics, images, photographs, product reviews, audio, video, and the selection, coordination, and arrangement thereof — are the property of The Elofina Edit LLC, its owner, or its licensors, and are protected by United States and international copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

The original artwork and illustrations offered through the Services are the creative property of The Elofina Edit LLC and its artist. Your purchase of a product grants you ownership of the physical item only. It does not transfer any copyright, reproduction right, or commercial-use right in the underlying artwork or design. You may not reproduce, copy, distribute, resell, modify, create derivative works from, or commercially exploit any artwork, design, or other content from the Services without our prior written consent.

Commercial licensing of our artwork is available separately and is governed by the terms of a written licensing agreement. Inquiries may be directed to licensing@elofinaedit.com.

The name "The Elofina Edit," our logos, and associated marks are trademarks of The Elofina Edit LLC and may not be used without our prior written permission. Shopify's name, logos, and marks are the property of Shopify. All other trademarks appearing on the Services are the property of their respective owners.

Section 11 — Limited License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include any right to resell or commercially use the Services or their contents; to collect or use product listings, descriptions, or images for any commercial purpose; or to use any data mining, robots, scraping, or similar data-gathering tools. Any unauthorized use terminates this license.

Section 12 — Third-Party Tools and Links

We may provide access to third-party tools, integrations, or services as part of the Services, over which we exercise no control and provide no monitoring. Such tools are provided "as is" and "as available," without warranties or endorsement of any kind. Your use of any third-party tool is entirely at your own risk, and you should review the applicable third party's terms and policies. We disclaim all liability arising from your use of any optional third-party tools.

The Services may contain links to websites or content operated by third parties. We are not responsible for the content, accuracy, or practices of any third-party site and are not liable for any loss or damage arising from your access to or use of them. Any concerns regarding third-party products or services should be directed to the relevant third party.

Section 13 — Relationship with Shopify

The Elofina Edit is powered by Shopify, which enables us to provide the Services to you. All sales and purchases you make through our store are made directly with The Elofina Edit LLC. You acknowledge and agree that Shopify is not responsible for any aspect of any transaction between you and The Elofina Edit, including any injury, damage, or loss resulting from any product or service purchased. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising out of or related to your purchases and transactions with The Elofina Edit.

Section 14 — Privacy and Use of Your Information

All personal information we collect through the Services is handled in accordance with our Privacy Policy, available on our website and incorporated herein by reference. Because the Services are hosted on Shopify, certain information may also be processed by Shopify in accordance with Shopify's privacy policy.

We do not sell, rent, trade, or otherwise exploit your personal information in a negative manner. We collect and use your information solely to fulfill your orders and to improve our shop, products, and business operations so that we may better serve you and our customer community. You may opt out of non-essential communications at any time, or request access to or deletion of your information, by contacting us directly at support@elofinaedit.com.

By using the Services, you acknowledge that you have reviewed our Privacy Policy and consent to the collection and use of your information as described therein.

Section 15 — Feedback and Submissions

If you submit any ideas, suggestions, reviews, proposals, or other content to us ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such Feedback in any medium and for any purpose, including commercial purposes, without compensation or attribution to you.

You represent and warrant that you own or hold all rights necessary to grant this license; that your Feedback is accurate; that you have disclosed any compensation or incentive received in connection with submitting it; and that your Feedback does not violate these Terms or the rights of any third party, and is not unlawful, defamatory, obscene, infringing, or otherwise objectionable. We are under no obligation to maintain Feedback in confidence, to compensate you for it, or to respond to it, and we may, but are not required to, monitor, edit, or remove any Feedback at our sole discretion.

Art and Product Ideas. If you wish to propose original artwork, designs, or product concepts that you would like to be compensated for or to retain rights in, you should not submit them as Feedback. Instead, you should submit them through our licensing inquiry process so that we may discuss a separate written licensing agreement with you. Any artwork, design, or product idea submitted to us outside of our licensing inquiry process is treated as Feedback under this section, and by submitting it in that manner you forfeit any opportunity to negotiate a licensing agreement or to receive compensation for it. Section 16 — Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services: (a) for any unlawful, fraudulent, or malicious purpose; (b) to violate any applicable federal, state, local, or international law or regulation; (c) to infringe upon or violate our intellectual property rights or those of any third party; (d) to harass, abuse, defame, threaten, or harm any person; (e) to transmit false, misleading, or deceptive information; (f) to transmit unsolicited advertising, spam, chain communications, or similar solicitations; (g) to impersonate any person or entity or misrepresent your affiliation; (h) to upload or transmit viruses or other malicious code; (i) to collect or track the personal information of others; (j) to reproduce, duplicate, copy, resell, scrape, or exploit any portion of the Services; or (k) to interfere with, circumvent, or disable any security or access-control feature of the Services.

We reserve the right to suspend, disable, or terminate your access at any time, without notice, if we determine in our sole discretion that you have violated these Terms.

Section 17 — Conduct and Right to Refuse Service

The Elofina Edit is committed to maintaining a respectful, safe, and welcoming environment across all of our platforms, including our website, our social media channels, and our in-person Events. By interacting with us on any platform, you agree to conduct yourself accordingly.

Zero Tolerance. We do not tolerate racism, discrimination, harassment, bullying, threats, hate speech, intimidation, or any other abusive or inappropriate behavior directed at our owner, our artist, our staff, our customers, our community, or any other person, whether occurring on our website, on social media, through any communication channel, or at any in-person Event.

Right to Refuse Service. We reserve the right, at our sole discretion and without notice, to refuse service to, cancel orders of, restrict, suspend, block, ban, or remove any individual who violates this section or otherwise engages in conduct we deem disruptive, harmful, or inappropriate. We also reserve the right to remove, hide, or report any content that violates this section.

Legal Remedies. Conduct that violates this section, that is unlawful, or that causes harm to The Elofina Edit, its owner, its artist, its staff, or its community may result in our pursuit of any and all remedies available to us under applicable law, including injunctive relief and the recovery of damages, costs, and reasonable attorneys' fees. You agree that you are responsible for any damages, losses, or liabilities arising from your violation of this section. Nothing in this section limits any other right or remedy available to us at law or in equity.

Section 18 — Automated Access and Agents

This section applies to any automated software or service that accesses, uses, or interacts with the Services on behalf of or at the instruction of any person ("Agent"), including any agentic AI tool. No Agent may access or interact with the Services unless it continuously identifies itself as an Agent and complies with the requirements below, and no Agent may access the Services where we have requested that it refrain from doing so. We may restrict or block Agent access by technical or other means at our discretion.

Agents must: (i) identify each request as originating from an Agent and disclose the Agent's name in the request's user-agent string in the form "Agent/[agent name]"; (ii) not conceal or obfuscate that access or interaction is automated, including by mimicking human behavior or by completing or circumventing CAPTCHAs or similar measures; (iii) respond truthfully to any prompt seeking to determine whether interaction originates from a human or an automated system; and (iv) not circumvent any measure intended to block, limit, or control how Agents access the Services.

Section 19 — Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such errors and to change, update, or cancel orders (including after an order has been submitted) if any information is inaccurate, at any time and without prior notice.

Section 20 — Disclaimer of Warranties

THE INFORMATION PROVIDED THROUGH THE SERVICES IS MADE AVAILABLE FOR GENERAL INFORMATIONAL PURPOSES ONLY, AND ANY RELIANCE YOU PLACE ON IT IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Section 21 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE ELOFINA EDIT LLC, ITS OWNER, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS, OR THOSE OF SHOPIFY, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THEM, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Section 22 — Indemnification

You agree to indemnify, defend, and hold harmless The Elofina Edit LLC, Shopify, and our respective owners, members, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (i) your breach of these Terms or any policy incorporated by reference; (ii) your violation of any law or the rights of any third party; or (iii) your access to or use of the Services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Section 23 — Termination

We may terminate or suspend these Terms or your access to the Services, in whole or in part, at any time and at our sole discretion, with or without notice. Upon termination, you remain liable for all amounts due through the date of termination. All provisions that by their nature should survive termination — including those concerning Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and the general provisions in Sections 24 through 32 — shall survive.

Section 24 — Governing Law

These Terms and any dispute or claim arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to the dispute resolution provisions in Section 26, you and The Elofina Edit agree that the exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of such courts.

Section 25 — Force Majeure

We shall not be liable or responsible for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, severe weather, fire, flood, epidemic or pandemic, labor disputes, supply or material shortages, production or fulfillment partner failures, carrier or logistics delays, governmental action, or failures of telecommunications or utility services.

Section 26 — Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court and to have disputes decided by a jury or in a class action.

Informal Resolution. Before initiating any formal proceeding, you agree to first contact us at support@elofinaedit.com and provide a brief written description of the dispute and your contact information. You and we agree to attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days before pursuing arbitration.

Binding Arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved shall be resolved by final and binding arbitration administered in accordance with the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small claims court where eligible. The arbitration shall take place in Tarrant County, Texas, or be conducted remotely, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You and The Elofina Edit agree that any dispute shall be brought solely in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative or class proceeding.

Opt-Out. You may opt out of this arbitration and class action waiver provision by sending written notice to support@elofinaedit.com within thirty (30) days of your first acceptance of these Terms, stating your intent to opt out and including your name and order or contact information. Opting out will not affect any other provision of these Terms.
